Terms of Service

1. ACCEPTANCE OF TERMS OF USE

QWASI, Inc ("QWASI’) owns and runs various websites, including but not limited to activchat.com and ActivChat Mobile (“ACTIVCHAT”), through which it offers various services and software (the websites, client, services and software are referred to as the "Services"). Clients who register, sign-up and pay for montlhyt accees are considered users of the Services (“Users”).

By accessing and using the Services, you agree to be bound by these Terms of Use. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED IN THESE TERMS OF USE, DO NOT USE THE SERVICES IN ANY MANNER. ACTIVCHAT reserves the right to limit or terminate your access to the Services if you do not comply with these Terms of Use.

ACTIVCHAT does not knowingly permit children under 13 to create a ACTIVCHAT account. Do not attempt to create an account if you are under 13. See our privacy policy.

ACTIVCHAT reserves the right, at its sole discretion, to change, modify, update, add, or remove portions of the Terms of Use at any time, with or without notice to you. Please check these Terms of Use periodically for changes. Your continued use of the Services after the posting of any changes to the Terms of Use or after our sending of notice of any changes or updated policy to you means that you have accepted those changes.

2. RESTRICTIONS ON USE OF THE SERVICES

Content You Post to the Services
You may post and share comments and content with other users through the Services. By using the Services, you agree not to upload, post, transmit, cause the display or performance of, or otherwise make available any content that:

  1. is harmful, threatening, abusive, harassing, tortious, vulgar, hateful, or racially, ethnically or otherwise offensive or discriminatory;
  2. is obscene, pornographic, excessively violent or harmful to minors or depicts minors engaged in sexually explicit conduct or in a sexually explicit manner;
  3. is illegal;
  4. is tortious, defamatory, libelous or invasive of another's privacy or publicity rights;
  5. infringes any patent, trademark, trade secret, copyright or other proprietary or intellectual property rights of any party;
  6. you do not have a right to make available under law or contractual or fiduciary relationships;
  7. includes copyrighted materials for which you do not possess appropriate rights to so display, perform or otherwise make available;
  8. bears any false, disguised or misleading origin;
  9. contains software viruses or any other computer code, files or programs designed to destroy, interrupt or otherwise limit the functionality of any computer software, computer hardware or other equipment.

All messages, information, digital files or other materials, whether publicly posted, displayed or performed on, or privately transmitted, are the sole responsibility of the person who sends or publishes such items. Accordingly, you are responsible for all items that you message, upload, post, cause the display or performance of, email, transmit or otherwise make available via the Services.

ACTIVCHAT reserves the right to, but has no obligation to, monitor or screen the content transmitted through, displayed or posted through the Services and to remove any content in its sole discretion. Nevertheless, YOU REMAIN SOLELY RESPONSIBLE FOR THE CONTENT OF THE MATERIALS YOU TRANSMIT, DISPLAY OR POST THROUGH THE SERVICES.

Prohibited Activities
You may not use the Services to do any of the following:

  1. harass or advocate harassment of another person or entity;
  2. perform any activities that violate, intentionally or unintentionally, any applicable state, local, federal, or international laws or regulations promulgated by governmental agencies that have the force of law;
  3. provide resources to or otherwise support any organization(s) designated by the United States government as a foreign terrorist organization under section 219 of the Immigration and Nationality Act;
  4. impersonate any person or entity or misrepresent in any way your affiliation with a person or entity;
  5. transmit unsolicited mass mailings, "spim" or "spam;"
  6. collect or store any information about other users or members, other than in the normal course of using the Services for their intended purpose of facilitating voluntary communication among users;
  7. transmit any virus, worm, defect, Trojan horse or similar destructive or harmful item.

You may not do any of the following to the Services:

  1. use the Services in any manner that could damage, disable, overburden, disrupt or impair the Services or any ACTIVCHAT server, or the network(s) connected to any ACTIVCHAT server, or interfere with any other party's use and enjoyment of the Services;
  2. disobey any applicable policies or regulations of networks connected to the Services;
  3. modify, adapt, translate or reverse engineer the Services
  4. use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the Services;
  5. reformat the Services in any way; or
  6. create user accounts using any automated means or under false pretenses.

Other Requirements
To the extent that you use or connect to any third party messaging services and/or content delivery systems through the Services, you agree that you will comply with all terms and conditions of use for those services, including without limitation, the proper registration for, acquisition and use of a user name and password for such system.

You understand that the Services are offered to the public free of charge when promoted and advertised whether online, offline or through other channels.

You acknowledge, consent and agree that ACTIVCHAT may access, preserve, and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the TOS; (c) respond to claims that any Content violates the rights of third-parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of ACTIVCHAT, its users and the public.

You understand that the technical processing and transmission of the Service, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. You understand that the Service and software embodied within the Service may include security components that permit digital materials to be protected, and use of these materials is subject to usage rules set by ACTIVCHAT and/or content providers who provide content to the Service. You may not attempt to override or circumvent any of the usage rules embedded into the Service. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Service, in whole or in part, is strictly prohibited.

3. NO RESPONSIBILITY FOR THIRD PARTY CONTENT OR ACTIONS

You understand that the Services act only as a forum and technical interface between users and that ACTIVCHAT does not itself verify the qualifications of users and does not evaluate or control exchanges between users. Any opinions or statements expressed by a user are those of the user alone, and are not to be attributed to ACTIVCHAT. ACTIVCHAT cannot and does not assume responsibility for the accuracy, completeness, safety, reliability, timeliness, innocuousness, or legality of anything said, written, posted, displayed or otherwise made available by any user.

You understand that you may be exposed to content that you find offensive to you and that you use the Services at your own risk.

Subject to your compliance with the terms and conditions of this Agreement, ACTIVCHAT Mobile (QWASI, Inc) will provide the Services to you after you have successfully and voluntarily opted in to the ACTIVCHAT Mobile Services. Upon QWASI’s acceptance of your opt-in SMS text message or sign-up for participation in the Services, QWASI will send you an SMS text message containing a response administered by QWASI or one of our clients. The communication standards for the Services include, but are not limited to: SMS and web-based browser technology, provided that in order to use the Services, you must maintain an active account with a carrier of electronic communications through mobile devices (each, a "Carrier"), and you may not use a prepaid cellular phone contract to access the Services. QWASI offers our clients the ability to lease keywords under the QWASI / 74362 or 79274 short code(s) or additional ones when necessary. The Company’s clients will then administer individual SMS text message campaigns based upon their own discretion.

Supported Carriers: Alltel, ATT Wireless (Cingular), Cellular One, Cincinnati Bell, Dobson Cellular, Nextel, Sprint, T-Mobile, Verizon Wireless and other carriers upon their approval.

Campaigns are considered “standard campaigns” whereby Standard or Other message rates apply to all visitors, Users or recipients of text messages.

At no time will QWASI or the Company’s clients charge a “premium” fee nor solicit any type of payment, such as a bank account number or credit card number, from an end user via SMS text messaging. An offer to purchase may be embedded as a URL or link to a secure website. QWASI and QWASI clients will only engage in “standard” text messaging campaigns which will only be subject to the standard text messaging fees charged by the end user’s wireless carriers.

4. INTERSTATE AND INTERNATIONAL USE

You consent to the collection and processing of personal information in the United States regardless of where you are located. All users understand the potential cross-border nature of communications made using the Services and acknowledge that using the Services may result in interstate and international transmission of data.

5. NOTICE TO USERS OF ACTIVCHAT CLIENTS

ACTIVCHAT allows you to embed an ACTIVCHAT Client in other sites by including links to the ACTIVCHAT Client on that site. You understand that linking to or otherwise embedding an ACTIVCHAT Client in another site is subject to the policies of the receiving site and to the technical capabilities of your browser. You understand that each ACTIVCHAT Client link requires an open connection to receive the content stream for any embedded ACTIVCHAT Client and ACTIVCHAT Mobile, which uses SMS (text Messaging) and/or other MMS services to receive on a linked cell phone. ACTIVCHAT reserves the right to restrict your access to ACTIVCHAT Clients or terminate any embedded ACTIVCHAT Client under any circumstances when account is not current.

ACTIVCHAT reserves the right to terminate a ACTIVCHAT Client or ACTIVCHAT Mobile, remove users from a ACTIVCHAT Client and/or limit the number of embedded copies of a ACTIVCHAT Client if ACTIVCHAT determines in its sole discretion that not doing so could adversely affect the Services, ACTIVCHAT, or its users. Users of ACTIVCHAT Clients may not create a link to a ACTIVCHAT Client or otherwise embed or cause to display any instance of any ACTIVCHAT Client on any website that contains, propagates, or otherwise displays any adult, illegal or patently offensive content.

You understand that no content appearing in any ACTIVCHAT Client, except for the chat history, is hosted or served on the ACTIVCHAT servers, and that, as a result, ACTIVCHAT has no control over the accessibility of content from third party servers, nor does it guarantee the accuracy, quality or integrity of content posted or displayed in any ACTIVCHAT Client.

ACTIVCHAT IS NOT RESPONSIBLE FOR NON-DISPLAY OR INCORRECT DISPLAY OF ANY CONTENT IN AN ACTIVCHAT CLIENT.

6. LICENSE AND CONFIDENTIAL INFORMATION

By sending messages or posting information or content to the Services, including in any ACTIVCHAT Client, you automatically grant, and you represent and warrant that you have the right to grant, to ACTIVCHAT an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, publicly perform, publicly display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing.

No information or content of any kind that you submit to ACTIVCHAT, upload, post, cause to be displayed or performed, transmit or otherwise make available using the Services shall be deemed confidential or secret information.

Notwithstanding the foregoing, ACTIVCHAT will only disclose communications or content transmitted through private IM chats in accordance with the ACTIVCHAT Privacy Policy.

7. BILLING AND PAYMENT TERMS

All fees (“FEES”), the amount paid for the Services are paid monthly via credit card by Users unless otherwise established and approved by an officer of the company. An invoice will be sent to you each time your credit card is charged. By using the Services, you agree to allow ACTIVCHAT to charge your credit card for fees incurred.

The Services are billed based on the level of service you selected at the time of your order or upon upgrading to a new plan. Upon cancellation of the Service, you agree to remove the ACTIVCHAT Client or ACTIVCHAT Mobile references and any and all advertisements for the service from your website, signage, advertising, et al.

ACTIVCHAT Mobile users receive a monthly bundle of messaging based on the level of service you purchased. Additional text message bundles will automatically be added to your account when required to continue to deliver messages. Those messages will be added to your account next month and expire within 1 year from the date messages are added to the Users account. Standard message rates and data rates mat apply to Users by carriers.

These charges will be summarized and billed to you on a monthly basis which will show up on your monthly invoice. Consumers using the system are subject to standard messaging fees which are the responsibility of the consumer to pay.

8. ACTIVCHAT PRIVACY POLICY

ACTIVCHAT requires certain information to provide its service, such as credit card numbers, cell phone numbers, billing addresses, business and personal contact information. ACTIVCHAT will never release your information to anyone for any reason without prior approval by you, unless required by law. As part of the Services, ACTIVCHAT collects information and communication chats for visitors and those chatting with Users using the Services. Phone numbers collected by ACTIVCHAT Mobile will never be shared with other users of the system nor will they be distributed outside the system, unless required by law. The phone numbers collected by your codes will only be released to you when the end user or those chatting are using ACTIVCHAT Mobile and the Chat Keyword used to text in to initiate a chat.

ACTIVCHAT respects your desire for privacy. ACTIVCHAT's Privacy Policy can be found at http://www.activchat.com/privacy. By using the Services, you are consenting to the terms of our Privacy Policy.

9. ACCOUNT, PASSWORD AND SECURITY

You will receive a password and account upon completing the sign-up process and checkout. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify ACTIVCHAT of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. ACTIVCHAT cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 9.

10. THIRD PARTY WEB SITES, SERVICES, AND CONTENT

The Services may contain links to third-party sites that are not under the control of ACTIVCHAT, and ACTIVCHAT is not responsible for, nor does it guarantee the accuracy or integrity of, the content(s) of any linked site or any link contained in a linked site, or any changes or updates to such sites. The inclusion of any link does not imply that ACTIVCHAT endorses or accepts any responsibility for the content on any third-party site. Your correspondence or business dealings with, or participation in promotions of, any third party website found through the Services, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. ACTIVCHAT is not responsible or liable for any loss or damage of any kind incurred as the result of any such dealings or as the result of the presence of links to such third party websites on the Services.

In addition, links to advertising that has not been approved by ACTIVCHAT may be embedded in third party content displayed on the Services. ACTIVCHAT is not responsible for any content, cookies, or other technology used in connection with such advertising.

Provisions Relating to AOL Instant Messenger and Other Third Party Messaging Services

ACTIVCHAT users can use Third Party Messaging Services to log into and use their accounts with those instant messaging services. You use of any third party instant messaging service through ACTIVCHAT is subject to the terms and conditions of those services.

The following provisions apply to your use of AIM through ACTIVCHAT:

When you use AIM, AOL's collection of data is subject to its own privacy policies, available at http://about.aol.com/aolnetwork/mem_policy and http://about.aol.com/aolnetwork/aol_pp.

ACTIVCHAT may also collect data about you when you use AIM, and that collection of data is subject to ACTIVCHAT 's privacy policy, which may differ from AOL's privacy policies.

11. INDEMNITY

You agree to indemnify and hold ACTIVCHAT (QWASI, Inc), and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another.

12. NO RESALE OF SERVICE

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service unless approved by an officer of the company.

13. MODIFICATIONS TO SERVICE

ACTIVCHAT reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that ACTIVCHAT shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

14. TERMINATION

You agree that ACTIVCHAT may, under certain circumstances and without prior notice, immediately terminate your ACTIVCHAT account and access to the Service. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the TOS or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Service (or any part thereof), (e) unexpected technical or security issues or problems, (f) you have engaged in fraudulent or illegal activities, and/or (g) nonpayment of any fees owed by you in connection with the Services. Termination of your ACTIVCHAT account includes (a) removal of access to all offerings within the Service (b) deletion of your password and all related information, text associated to codes, activity reports and content associated with or inside your account (or any part thereof), and (c) barring further use of the Service. Further, you agree that all terminations for cause shall be made in ACTIVCHAT's sole discretion and that ACTIVCHAT shall not be liable to you or any third-party for any termination of your account or access to the Service.

ACTIVCHAT Mobile users may discontinue your participation in receiving and sending text messages (SMS) and access to those Services at any time by sending a text message to the QWASI shortcode (74362/79274) with any of the following messages: "STOP" + keyword, "CANCEL" + keyword, "UNSUBSCRIBE" + keyword, "QUIT" + keyword, or "END" + keyword.

15. ACTIVCHAT'S PROPRIETARY RIGHTS

You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. Except as expressly authorized by ACTIVCHAT, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

16. DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ACTIVCHAT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. ACTIVCHAT MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, AND (iv) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM ACTIVCHAT OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS. A SMALL PERCENTAGE OF USERS MAY EXPERIENCE EPILEPTIC SEIZURES WHEN EXPOSED TO CERTAIN LIGHT PATTERNS OR BACKGROUNDS ON A COMPUTER SCREEN OR WHILE USING THE SERVICE. CERTAIN CONDITIONS MAY INDUCE PREVIOUSLY UNDETECTED EPILEPTIC SYMPTOMS EVEN IN USERS WHO HAVE NO HISTORY OF PRIOR SEIZURES OR EPILEPSY. IF YOU, OR ANYONE IN YOUR FAMILY, HAVE AN EPILEPTIC CONDITION, CONSULT YOUR PHYSICIAN PRIOR TO USING THE SERVICE. IMMEDIATELY DISCONTINUE USE OF THE SERVICE AND CONSULT YOUR PHYSICIAN IF YOU EXPERIENCE ANY OF THE FOLLOWING SYMPTOMS WHILE USING THE SERVICE -- DIZZINESS, ALTERED VISION, EYE OR MUSCLE TWITCHES, LOSS OF AWARENESS, DISORIENTATION, ANY INVOLUNTARY MOVEMENT, OR CONVULSIONS.

17. LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT ACTIVCHAT SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF ACTIVCHAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (iv) ANY OTHER MATTER RELATING TO THE SERVICE.

18. EXCLUSIONS AND LIMITATIONS

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 17 AND 18 MAY NOT APPLY TO YOU.

19. NO THIRD PARTY BENEFICIARIES

You agree that, except as otherwise expressly provided in this TOS, there shall be no third party beneficiaries to this Agreement.

20. NOTICE

ACTIVCHAT may provide you with notices, including those regarding changes to the TOS, by either email, regular mail, or postings on the Service.

21. TRADEMARK AND PATENT INFORMATION

The ACTIVCHAT logo, Client, “Chat Keyword”, Chat 2.0 and Powered by ACTIVCHAT trademarks and service marks and other ACTIVCHAT logos and product and service names are registered US Federal Trademarks of QWASI, Inc.

All other trademarks, trade names, service marks, service names are the property of their respective holders, including but not limited to, the following:

THIS SITE IS NOT AFFILIATED WITH OR ENDORSED BY
America Online, Inc., Google Inc., ICQ, Inc., Jabber Software Foundation, Microsoft Corporation or Yahoo, Inc.

ACTIVCHAT grants you permission to use the ACTIVCHAT marks on advertising brochures, sign riders, website advertisements. Uses not associated with the intended use of the product without the prior approval of ACTIVCHAT and its officers will result in an immediate cancellation of service. Upon cancellation of service you agree to remove all references to ACTIVCHAT from any and all materials and advertisements. Any attempt to copy, steal or infringe on Patent Rights, Trademarks or Service Marks owned by QWASI, Inc. will constitute a violation of US Federal Patent and Trademark law and will be subject to prosecution in federal district court.

22. NOTICES

We may be required by state or federal law to notify you of certain events. In addition, we may need to notify you from time to time regarding changes to these Terms of Use or to the Services. You agree that such notices will be effective upon our posting them on the Site, sending them to you through email or postal mail, or notifying you via other means required by law. If you do not provide us with accurate information to contact you, we will not be held liable if we fail to notify you.

You consent to receiving any notices regarding the Terms of Service or the Privacy Policy or any notice required by law, including notice of a any breach of security involving your personally identifiable information, through email.

Any notices that we send to you by email will be sent to the email address you provided when you registered for an account or the email address in your profile.

23. GENERAL INFORMATION

Entire Agreement. The TOS constitutes the entire agreement between you and ACTIVCHAT (dba QWASI, Inc.) and governs your use of the Service, superseding any prior agreements between you and ACTIVCHAT with respect to the Service.

Choice of Law and Forum.
The TOS and the relationship between you and ACTIVCHAT shall be governed by the laws of the State of Pennsylvania without regard to its conflict of law provisions. You and ACTIVCHAT agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Chester, Pennsylvania. Waiver and Severability of Terms. The failure of ACTIVCHAT to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.

No Right of Survivorship and Non-Transferability. You agree that your ACTIVCHAT account is non-transferable and any rights to your ACTIVCHAT or contents within your account terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted.

Statute of Limitations.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred.
